Terms and Conditions

These Terms govern your use of Stelizen’s website, services, and licensed software. By accessing our services, you agree to these bounds.

1. Definitions

  • "Services" refers to architectural consulting, forensic auditing, and custom development.
  • "The Engine" refers to proprietary pre-built software (e.g., The Vision Engine) licensed on a SaaS or self-hosted basis.
  • "Deliverables" refers to specific outputs defined in a Statement of Work (SOW).

2. Intellectual Property & Ownership

A. Custom Architecture (Work for Hire)

Unless otherwise specified in a Master Services Agreement (MSA), custom code engineered specifically for the Client and fully paid for shall be the property of the Client ("Source Code Transfer").

B. Background IP & The Engine

Stelizen retains all rights, title, and interest in:

  • The "Vision Engine" and its underlying multi-agent orchestration logic.
  • Pre-existing libraries, TLA+ specifications, and architectural patterns used to deliver the Services.
  • Clients are granted a non-exclusive, non-transferable license to use this Background IP solely as embedded within the Deliverables.

3. Service Constraints: Architectural Forensics

If engaged for Architectural Forensics:

  • Observation Only: Our role is to identify faults (race conditions, deadlocks, logic gaps). We are not liable for system failures that occur during the observation period unless caused by our direct negligence.
  • No Guarantee of Remediation: Identification of a "Heisenbug" or root cause does not guarantee that the system can be fixed without a complete re-architecture.

4. Formal Verification Disclaimer

While we utilize TLA+ (Temporal Logic of Actions) and formal methods to mathematically verify system logic:

  • Verification applies to the design model, not necessarily the compiled code or underlying hardware.
  • We do not warrant that the software is error-free, particularly regarding failures caused by third-party APIs, cloud provider outages, or physical hardware degradation.

5. Limitation of Liability

To the maximum extent permitted by law, Stelizen shall not be liable for indirect, incidental, or consequential damages (including lost revenue or data corruption). Our total liability is limited to the amount paid by the Client for the specific Service Engagement in the 12 months preceding the claim.

6. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Los Angeles County.
